{"id":108190,"date":"2025-11-21T16:22:35","date_gmt":"2025-11-21T21:22:35","guid":{"rendered":"https:\/\/www.historians.org\/?post_type=resource&#038;p=108190"},"modified":"2026-01-11T08:53:50","modified_gmt":"2026-01-11T13:53:50","slug":"aha-council-conduct-and-removal-policy","status":"publish","type":"resource","link":"https:\/\/www.historians.org\/resource\/aha-council-conduct-and-removal-policy\/","title":{"rendered":"AHA Council Conduct and Removal Policy"},"content":{"rendered":"<p><em>Approved by AHA Council, November 2025<\/em><\/p>\n<ol>\n<li><strong>Purpose<\/strong><\/li>\n<\/ol>\n<p>This policy supplements Bylaw 5(1-4), pursuant to Article V, Section 1 of the Association\u2019s Constitution by providing detailed procedures to ensure that issues involving Council member conduct or performance are handled fairly, consistently, and in a manner that upholds the integrity of the Association\u2019s governance.<\/p>\n<ol start=\"2\">\n<li><strong>Principles<\/strong><\/li>\n<\/ol>\n<p>Council members are expected to abide by the rules and policies of the Association, including, but not limited to: the <em><a href=\"https:\/\/www.historians.org\/about\/governance\/constitution-bylaws\/\">Constitution and Bylaws<\/a><\/em>, the<em><a href=\"https:\/\/www.historians.org\/resource\/code-of-professional-conduct-at-officially-sanctioned-aha-activities\/\"> Code of Professional Conduct at Officially Sanctioned AHA Activities<\/a><\/em>, the <a href=\"https:\/\/www.historians.org\/resource\/statement-on-standards-of-professional-conduct\/\"><em>Statement on Standards of Professional Conduct<\/em><\/a>, the <a href=\"https:\/\/www.historians.org\/resource\/aha-council-conflict-of-interest-policy\/\"><em>Council Conflict of Interest Policy<\/em><\/a>, and the <em>Expectations and Guidance for Conducting Council Business<\/em>. Members of the Council are expected to exhibit mutual respect and professionalism when dealing with employees, vendors, members and other Council members and must be aware of and fulfill their fiduciary duties to the Association. This policy promotes:<\/p>\n<ol>\n<li style=\"list-style-type: none;\">\n<ol type=\"a\">\n<li>Fair and transparent procedures;<\/li>\n<li>Timely resolution of concerns; and<\/li>\n<li>Protection of the Association\u2019s mission.<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<ol start=\"3\">\n<li><strong>Informal Resolution<\/strong><\/li>\n<\/ol>\n<p>Concerns about a Council member\u2019s performance or conduct should, when appropriate, first be addressed privately by the President (or designee) and the Executive Committee. Coaching, mediation, or voluntary corrective action should be encouraged whenever possible.<\/p>\n<ol start=\"4\">\n<li><strong>Formal Review<\/strong><\/li>\n<\/ol>\n<p>If informal efforts are unsuccessful or inappropriate:<\/p>\n<ol>\n<li style=\"list-style-type: none;\">\n<ol type=\"a\">\n<li>A written concern may be submitted to the President or Executive Committee.<\/li>\n<li>The Executive Committee shall review the concern and gather relevant information. The Executive Committee shall recommend appropriate action to the Council (e.g., no action, warning, temporary suspension from duties, or removal. If the Executive Committee determines to recommend removal, at least fifteen (15) days prior to the meeting at which removal will be considered, it shall notify the Council member in writing of the grounds for proposed removal.<\/li>\n<li>The member shall have at least ten (10) days to respond in writing or request to meet with the Committee before the Council takes action.<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<ol start=\"5\">\n<li><strong>Council Action<\/strong><\/li>\n<\/ol>\n<p>The full Council shall consider the Executive Committee\u2019s recommendation at a regular or special meeting, following the notice and voting procedures in the bylaws.
